VIEWCOMPANION SOFTWARE LICENSE AGREEMENT

IMPORTANT: By installing, copying, downloading, accessing, or using the Software, you agree to be bound by the terms of this License Agreement. If you do not agree to these terms, do not install or use the Software.

For the purposes of this Agreement, "Software" means the ViewCompanion software product identified on the accompanying invoice, quotation, order confirmation, license certificate, or download page, together with any related documentation, updates, upgrades, patches, and accompanying files provided by Software Companions.

1. Grant of License

Software Companions grants you a non-exclusive license to use the Software.
Unless otherwise specified, a Single-User License permits one (1) User to use the Software.
For licenses covering multiple Users, the number of permitted Users, concurrent Users, installations, deployment rights, and any other usage restrictions are defined by the accompanying quotation, invoice, license certificate, order confirmation, or other written agreement issued by Software Companions.

The Software may be installed on multiple computers provided that the use of the Software remains within the limits of the purchased license.

Any rights not expressly granted under this Agreement are reserved by Software Companions.

2. Ownership

The Software is licensed, not sold.
Software Companions retains all ownership rights, copyrights, trademarks, and other intellectual property rights in and to the Software.

3. Copyright

The Software is protected by international copyright laws.
You may make one backup copy of the Software solely for archival or backup purposes.

4. License Restrictions

You may not:

• Use the Software in excess of the number of licensed Users.
• Distribute, rent, lease, sublicense, or transfer the Software without prior written consent from Software Companions.
• Remove copyright notices, trademarks, serial numbers, or other proprietary markings.
• Reverse engineer, decompile, or disassemble the Software except where such restrictions are prohibited by applicable law.

5. Software Maintenance

Unless otherwise specified on the invoice or order confirmation, a new license includes one (1) year of Software Maintenance from the date of purchase.
Software Maintenance includes:

• Software updates and upgrades released during the maintenance period.
• Technical support provided by Software Companions.

After the maintenance period expires, the Software may continue to be used, but access to updates, upgrades, and technical support may require renewal of Software Maintenance.

6. Termination

This Agreement remains in effect until terminated.
Software Companions may terminate this Agreement if you fail to comply with its terms.
Upon termination, you must stop using the Software and destroy all copies in your possession.

7. Limited Warranty

Software Companions warrants that ViewCompanion will perform substantially in accordance with the accompanying documentation for a period of ninety (90) days from the date of purchase.
Your exclusive remedy shall be, at Software Companions' option:

• Repair or replacement of the Software; or
• Refund of the purchase price paid for the Software.

8. Disclaimer of Warranties

Except for the limited warranty above, the Software is provided "AS IS".
Software Companions disclaims all other warranties, whether express or implied, including warranties of merchantability and fitness for a particular purpose.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Software Companions shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, loss of data, or business interruption.

Software Companions' total liability arising out of or relating to the Software shall not exceed the amount actually paid for the applicable Software license.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Norway.
Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Norway

11. Trademarks

ViewCompanion is a trademark or registered trademark of Software Companions.
All other trademarks, product names, and company names mentioned in the Software or documentation are the property of their respective owners.

12. Entire Agreement

This Agreement constitutes the entire agreement between you and Software Companions regarding the Software and supersedes all prior oral or written communications relating to the Software, except for any specific terms contained in an accompanying quotation, invoice, license certificate, order confirmation, or other written agreement issued by Software Companions.
