SOFTWARE COMPANIONS SDK LICENSE AGREEMENT

IMPORTANT: By installing, copying, or using scViewerX, scConverter, or any associated Software Development Kit ("SDK"), you agree to the terms of this License Agreement.

1. Definitions

"SDK" means the Software Development Kit licensed under this Agreement, including scViewerX or scConverter, together with any associated files, libraries, documentation, samples, and related materials supplied by Software Companions. For licensing purposes, scViewerX and scConverter are separate SDK products. A license for scViewerX does not grant any rights to use scConverter, and a license for scConverter does not grant any rights to use scViewerX, unless expressly stated in the applicable quotation, invoice, license certificate, order confirmation, or other written agreement issued by Software Companions.

"Application" means a software application, software solution, website, web application, service, or other software product developed using the SDK. Updates, upgrades, bug-fix releases, and new versions of the same software product shall be considered part of the same Application.

Development, testing, staging, and production deployments of the same Application shall be considered a single Application for licensing purposes.

"Developer" means an individual who installs, accesses, uses, or develops software using the SDK.

2. Grant of Licenses

Software Companions grants you a non-exclusive, non-transferable license to use the SDK for the purpose of developing Applications.
Unless otherwise specified, one SDK license permits use by one (1) Developer for the development and maintenance of one (1) Application.
A separate SDK license is required for each additional Developer and for each additional Application.
Unless otherwise specified in writing by Software Companions, a license may not be shared between multiple Developers.
For licenses covering multiple Developers, Applications, deployments, websites, servers, or other usage scenarios, the permitted use is defined by the accompanying quotation, invoice, license certificate, order confirmation, or other written agreement issued by Software Companions.
Any rights not expressly granted under this Agreement are reserved by Software Companions.

3. Ownership

The SDK is licensed, not sold.
Software Companions retains all ownership rights, copyrights, trademarks, patents, trade secrets, and other intellectual property rights in and to the SDK.

4. Copyright

The SDK is protected by international copyright laws and treaties.
You may make one backup copy of the SDK solely for backup or archival purposes.

5. Redistribution Rights

You may redistribute the runtime files supplied with the SDK solely as part of your own Application, provided that:

• The runtime files are used only in conjunction with your Application.
• The runtime files are not distributed as a stand-alone product.
• The runtime files are not modified.
• Your Application provides substantial functionality beyond the functionality provided by the SDK itself.

Unless otherwise specified in writing by Software Companions, redistribution of approved runtime files as part of a licensed Application is royalty-free.

6. License Restrictions

You may not:

• Use the SDK in excess of the number of licensed Developers or Applications.
• Distribute, sublicense, rent, lease, lend, sell, or transfer the SDK itself to any third party.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the SDK, except where such restrictions are prohibited by applicable law.
• Remove copyright notices, trademarks, serial numbers, or other proprietary markings.
• Redistribute any SDK source code, sample source code, documentation, or development files except as expressly permitted by this Agreement.
• Redistribute, market, license, or provide the SDK, or any part of the SDK, as a software development kit, component library, toolkit, API, development platform, or similar product intended for use by software developers.

7. Software Maintenance

Unless otherwise specified on the invoice or order confirmation, a new SDK license includes one (1) year of Software Maintenance from the date of purchase.
Software Maintenance includes:

• SDK updates and upgrades released during the maintenance period.
• Technical support provided by Software Companions.

After the maintenance period expires, the SDK may continue to be used in accordance with this Agreement, but access to updates, upgrades, and technical support may require renewal of Software Maintenance.

8. Termination

This Agreement remains in effect until terminated.
Software Companions may terminate this Agreement if you fail to comply with its terms.
Upon termination, you must cease all use of the SDK and destroy all copies of the SDK in your possession.
Applications lawfully developed and distributed before termination may continue to be used and distributed, provided that such distribution otherwise complies with this Agreement.
Termination of this Agreement shall not affect the rights of end users who have lawfully received Applications distributed in accordance with this Agreement prior to termination.

9. Limited Warranty

Software Companions warrants that the SDK will perform substantially in accordance with the accompanying documentation for a period of ninety (90) days from the date of purchase.
Your exclusive remedy shall be, at Software Companions' option:

• Repair or replacement of the SDK; or
• Refund of the purchase price paid for the SDK.

10. Disclaimer of Warranties

Except for the limited warranty above, the SDK is provided "AS IS".
Software Companions disclaims all other warranties, whether express or implied, including warranties of merchantability and fitness for a particular purpose.

11. Limitation of Liability

To the maximum extent permitted by law, Software Companions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of business, or business interruption.
Software Companions' total liability arising out of or relating to the SDK shall not exceed the amount actually paid for the applicable SDK license.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Norway.

13. Trademarks

scViewerX and scConverter are trademarks or registered trademarks of Software Companions.
All other trademarks, product names, and company names are the property of their respective owners.

14. Entire Agreement

This Agreement constitutes the entire agreement between you and Software Companions regarding the SDK and supersedes all prior oral or written communications relating to the SDK, except for any specific terms contained in an accompanying quotation, invoice, license certificate, order confirmation, or other written agreement issued by Software Companions.
